Terms of Service
1. About these Terms
These Terms are an agreement between you and Another Dream Technology Co., Ltd. (異想科技有限公司, Taiwan tax ID 28132376; "we", "us"), established in Taiwan with its registered address at 2F., No. 143, Anxiang Rd., Xindian Dist., New Taipei City 231, Taiwan (R.O.C.). Our full details are on the Company information page.
They cover the ADGitter website, the ADGitter desktop app (the "Software"), and related services such as accounts, paid plans and themes. By using the Software or buying any plan, you agree to these Terms. If you do not agree, do not use the paid services.
2. Open-source license
The core of the Software is open source under the Apache License 2.0, which governs how you may use, modify and distribute the source code. These Terms govern the accounts, paid plans, themes and online services we provide.
3. Accounts
- The core features do not need an account. Paid plans and theme purchases do.
- You must be at least 13 to create an account, or older where the law where you live sets a higher age (for example 14 in Korea, 15 in France, 16 in Germany and some other EU countries, 18 in India). A minor needs a parent's or guardian's consent before buying a paid plan.
- Keep your information accurate and your sign-in method secure. You are responsible for activity on your account.
- Your account is for your own use. Do not share, resell or rent it. Teams should use Enterprise, with each member on their own account.
4. Paid plans, payment and automatic renewal
- All purchases are made through Polar Software, Inc. ("Polar"), the merchant of record. Polar sells to you and handles payment, receipts, tax and refunds. The Polar Buyer Terms also apply at checkout.
- Where the Polar Buyer Terms and these Terms give you different rights, whichever is more favourable to you applies, and nothing in either limits your right to go to court under the law.
- Plans and prices are listed on the Pricing page, in US dollars and excluding tax. The checkout page shows the total including tax before you pay.
- The contract is made when you complete payment on the checkout page and Polar confirms it. Polar emails a receipt to the address you gave at checkout.
- Each computer can try the Advance plan free for 14 days, once. The trial needs no payment method. When it ends the Software returns to the free version; you are never charged automatically and the trial never turns into a paid subscription. To keep the paid features, you buy a plan separately.
- Subscriptions are monthly. Each month, on the same day as your first payment, the current price is charged automatically and the subscription renews, until you cancel. Polar emails you a receipt for every charge.
- You can cancel at any time: on the website's Subscription page, through the management link in a Polar receipt, or by emailing us. You keep access until the end of the current period, and you will not be charged again.
- Your first paid subscription charge can be fully refunded on request within 14 days. The other refund rules are in the Refund Policy.
- If a subscription price changes, we will email you at least 30 days before it takes effect. The new price applies from your first renewal after that date. If you do not agree, cancel before then and you will not be charged the new price.
5. Right of withdrawal
- If you are a consumer and the law where you live lets you withdraw from a purchase without giving a reason (for example 14 days in the EU and the UK, 7 days in Taiwan and Korea), you may do so as that law provides.
- Our full refund of the first paid subscription charge within 14 days, and of themes within 14 days, is never shorter than those periods. Withdrawing within them always gets you a full refund, with nothing deducted for the time you used.
- Any clear statement that you are withdrawing counts: an email to us, the withdraw option on the Subscription page, or the model withdrawal form in the Refund Policy.
6. Personal licenses and team plans
- Basic and Advance are personal licenses. They are for the person who buys them, who may use them for work or commercial purposes, but they must be paid for by that person. A company or organization may not pay for or reimburse them, and they may not be given to anyone else to use.
- A company or organization paying for its members should use the Enterprise team plan. Enterprise is bought and paid for by one admin, who invites and removes members, changes the number of seats, and is responsible for the team's bill.
- Enterprise's price, included seats and seat limit are listed on the Pricing page. Seats added mid-month are charged right away for the rest of the current period. When seats are removed mid-month, the rest of the period is credited to the account balance for later invoices, not refunded as cash. The number of seats cannot go below the included seats or below the current number of members.
- A member gets the team plan's features once they hold a seat. If there are more members than seats, the most recently joined members lose the team features until the admin adds seats.
- When a member joins a team, any Basic or Advance subscription they pay for themselves is canceled at once and the rest of its current period is refunded; if they join within 14 days of their first payment, the refund is in full. Members are told about this before they join.
- A member who leaves the team, or whose team plan ends, returns to the free version. Their old personal subscription does not restart on its own.
7. License scope
- A paid plan is tied to your account and limits how many devices can use it at once. On Enterprise, the device limit applies to each member.
- A theme is a one-time license to use that theme inside the Software. It does not transfer ownership of, or the right to redistribute, the theme files. Purchased themes stay on your account if you downgrade or cancel.
- Do not bypass, crack or disable license checks, device limits or paid-feature checks.
8. Acceptable use
When using our services, you must not:
- break the law or infringe anyone's rights;
- disrupt, attack or overload our servers and APIs;
- create accounts in bulk by automated means, or impersonate others.
9. Your data and content
The Software runs every Git operation on your own computer. Your code and repository contents are never uploaded to our servers, and we claim no rights in them. How we handle account and purchase data is described in the Privacy Policy.
10. Changes and termination
- We may add, change or remove features. If a change materially reduces a service you have paid for, we will tell you at least 30 days before it takes effect; you can cancel before then and get back, pro rata, what you paid for the unused part of the period.
- If we decide to stop offering paid services, we will tell you at least 30 days in advance and refund, pro rata, what you paid for the unused part of the period.
- We may suspend or close your account if you breach these Terms. For minor issues we will ask you to fix them first.
- You can stop using the services and ask us to delete your account at any time.
11. Warranty and liability
- The Software is provided "as is". Git operations change your repositories, so back up important work.
- This does not affect your statutory rights for defects: if a paid feature is defective, does not work, or is not as we described it, you keep your legal rights to a fix, a price reduction or a refund.
- Where we are only slightly negligent, and to the extent the law allows, we are not liable for indirect damages or business interruption; for data loss you could have avoided with a backup, our liability is limited to the cost of restoring the data. In those cases our total liability to you is limited to what you paid for the service, including through Polar, in the 12 months before the event.
- These limits do not apply to our intent or gross negligence, to injury to life, body or health, to a breach of the essential obligations that make the contract achievable, or to any liability that product liability or other law does not allow to be limited or excluded.
12. Governing law and courts
These Terms are governed by the laws of Taiwan (R.O.C.).
If you are a consumer, this choice of law does not take away the protection you have under the law of the country where you live that cannot be excluded by agreement, and you may bring proceedings in the courts where you live. Otherwise, the Taiwan Taipei District Court is the court of first instance.
13. Changes to these Terms
- We update these Terms only for a valid reason, such as a requirement of law or a regulator, new or changed features, fixing an error, or security, and we change the effective date on this page. We will tell you about a material change to your disadvantage by email or in the Software at least 30 days before it takes effect, with what changes and why.
- If you do not agree to a change, you can end the contract before it takes effect and we refund, pro rata, what you paid for the unused part of the period; until then the old Terms apply. The notice will remind you of this right; if you keep using the services without objecting before the change takes effect, you accept the new Terms.
14. Complaints and disputes
- Send any complaint to support@anotherdream.tw. We confirm receipt within 3 business days and resolve it within 15 days.
- Our officer for complaints and personal data: Lin Hung-Li.
- As a consumer you can also turn to the consumer protection authority where you live, for example Taiwan's consumer hotline 1950.
15. Language versions
These Terms are offered in several languages. If a translation differs from the Traditional Chinese version, the Traditional Chinese version prevails, except where the law where you live requires otherwise.
